Community Initiative – Terms andConditions
The provisions set forth in these Subspace Foundation Community Initiative Terms and Conditions (the “Initiative Terms and Conditions”) supplement the original Terms of Use (the “Original Terms”) as defined on the Subspace Foundation (“Subspace”) Website (the “Website”). In the event of any inconsistencies or discrepancies between the Initiative Terms and Conditions and the Original Terms, the provisions of the Original Terms shall take precedence and govern the resolution of such conflicts.
Initiative details are posted on the Autonomys Forum (the “Forum”). By participating in the Subspace Community Initiative listed on the Forum (the “Initiative”), any participating person or team (the “Participant”) shall be deemed to have accepted and agreed to the Initiative Terms and Conditions and any additional terms and conditions specified in each subsequent Initiative event or site. In the event supplemental terms and conditions are specified in an Initiative event or site for a particular Initiative, the terms and conditions specified for that Initiative event or site will apply to it in lieu of these Initiative Terms and Conditions.
All Initiatives listed on the Forum shall be organized by the Subspace Foundation, a Swiss foundation. Each Initiative has a specific entry submission start date and end date. The Subspace Foundation reserves the right to extend the end date of the Initiative or to close the Initiative prematurely without prior notice at its discretion.
Eligibility
Unless otherwise specified on the Forum, Initiative contestants must be 18 years of age or older. Employees, officers and directors of the Subspace Foundation, any prize supplier, and their respective parent companies, subsidiaries and affiliates and their advertising, promotion, and fulfillment agencies are not eligible to enter or win. Immediate family members and household members of such individuals are also not eligible to enter or win. “Immediate family members” shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses. “Household members” shall mean those people who share the same residence at least three months per year. Subject to all applicable laws and void where prohibited.
Geographic Restrictionsand Prohibited Regions
Residents of Cuba, Iran, North Korea, Syria, Crimea (Ukraine), Luhansk (Ukraine), Donetsk (Ukraine), Myanmar (Burma), Russia, Belarus, Bangladesh, Morocco, and Egypt are not eligible to participate in the Initiative. In addition, the Subspace Foundation reserves the right, at its discretion, to restrict participation from other jurisdictions that are subject to trade sanctions, embargoes, or identified as high-risk for sanctions compliance purposes, including but not limited to Afghanistan, Venezuela, Sudan, and others as designated by applicable Swiss, EU, or U.S. authorities.
Prizes
All decisions on processes, shortlisting, and final winners are determined solely at the Subspace Foundation’s discretion. Prizes are non-transferable, non-negotiable, and non-exchangeable. A Participant may be required to show proof of identity upon request by the Subspace Foundation or when they collect their prize. In the event a prize is not collected by the successful Participant within the time period specified in the notification, the Subspace Foundation reserves the right, at their sole discretion, to award the prize to another Participant. The Subspace Foundation reserves the right to change or remove any prizes without prior notice.
Prizes will be awarded in AI3, the native token of the Autonomys Network. Any reference to the value of prizes in U.S. Dollars or other fiat currency is provided for informational purposes only. The actual value of AI3 prizes may fluctuate due to market conditions, and the Subspace Foundation shall not be responsible for any change in value after distribution. All taxes and any other expenses not stated herein, including but not limited to any applicable income or reporting obligations in the Participant’s jurisdiction, are the sole responsibility of the prize recipient.
Registration; EntrySubmissions
All Participants are required to submit true and accurate information during the online submission process. Submissions deemed to be incomplete, invalid, or containing inaccurate details may be disqualified.
All submissions shall be submitted using the Initiative’s submission form. The Subspace Foundation is not responsible for any submissions which are lost, misdirected, fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly, or are lost for any reason including any electronic, computer, or communication malfunction or error, or the inability to access this Website or any website associated with the Initiative.
Submissions with content deemed as irrelevant or offensive by the Subspace Foundation will be removed at its discretion. The Subspace Foundation reserves the right to disqualify and remove submitted Initiative entries which are (a) considered to be spam; (b) against the public interest, public order or national harmony; (c) offensive in nature; or (d) in its view, deemed otherwise inappropriate for disclosure to the broader Subspace community. The Subspace Foundation also reserves the right to disqualify any Participant and remove their entry submission if it is found that the Participant has tampered with or corrupted the entry submission or winner selection process.
By submitting an entry to the Initiative, you agree that the information you have provided on the submission form is complete and accurate. Prize winners are required to provide the true and accurate details of their identity to ensure compliance with local and international law. The Subspace Foundation may, in its discretion, conduct wallet or address screening against applicable sanctions lists prior to prize distribution.
General
The decision of the Subspace Foundation on all matters relating to the Initiative, including the eligibility of a Participant and the selection of the winners, is final.
The Subspace Foundation reserves the right to amend these Initiative Terms and Conditions at any time at its absolute discretion without any further notice, including but not limited to the eligibility terms and criteria, the selection of winners, the timing of any act to be done, and all Participants to any Initiative shall be bound by these amendments when posted on this Website. A person who is not a party to these Initiative Terms and Conditions shall have no lawful right to enforce any of these Initiative Terms and Conditions. In the event of any inconsistency between these Initiative Terms and Conditions and any brochures, marketing or promotional materials relating to the Initiative, these Initiative Terms and Conditions, and all its subsequent amendments, shall prevail.
These Initiative Terms and Conditions shall be governed by and construed in accordance with the laws of Switzerland, and any dispute arising out of or in connection with them shall be subject to the exclusive jurisdiction of the courts of Zug.
